2 About Us
2.1 We facilitate the provision of Online Courses by independent Instructors to Students across the world [by providing a platform and hosting services for the Instructors’ live and recorded instruction, tutoring and learning services].
2.2 Any contracts for the provision of the Online Courses not provided by Us shall be between the Instructor and Student.
3 Using Our Website
3.2 If You are an Instructor You are also subject to the Terms of Agreement which will be supplied to You together with these Terms and which together form the basis of our contract.
3.3 Your use of this Website and the Online Courses is subject to the following conditions (“Acceptable Use Conditions”), and You agree that failure to comply with any one of the Acceptable Use Conditions will be a breach of these Terms by You:
- You agree to use the Website and to provide and/or access the Online Courses only for lawful purposes and for Your own personal use;
- You agree not to distribute all or any part of the Website or Online Courses without the prior written consent of Us or the Instructor as appropriate;
- You agree not to alter or modify any part of the Website or any of the Online Courses without the prior written consent of Us or the Instructor as appropriate;
- You agree not to knowingly transmit any data or send or submit any content that contains viruses or any other harmful programs
- Whilst We do all we can to ensure that the Online Courses are of a high standard, You acknowledge that where Online Courses are provided directly to the Student by the Instructor We have no liability for the content or availability of the Online Courses and any Student claims should be directed to the Instructor. We accept no liability for any disputes, claims, losses or damages of any kind that may arise out of the provision of the Online Courses.
4 Registration and Accounts
4.1 Any Visitor can view the Website, but in order to take part in the Online Courses, You must register for a personal account on the Website (a “Student Account”) by providing Your real name, an email address and a password. You agree that You will never divulge or share access or your access information to Your Student Account with any third party for any reason.
4.2 In setting up Your Student Account, You may be prompted or required to enter additional information, including but not limited to Your gender, date of birth and location. Additional information may also be required to confirm Your identity, including (but not limited to) photographic identification for verification purposes.
4.3 You undertake to us that all information provided by You in relation to your Student Account is and will continue to be accurate, current and complete at all times and that You will maintain and update Your information to keep it accurate, current and complete.
4.4 You acknowledge that if any information provided by You in relation to Your Student Account is untrue, inaccurate, not current or incomplete, or You otherwise breach any of Your obligations under these Terms We shall be entitled to suspend or terminate Your access to and use of the Website and Your enrolment in the Online Courses
4.5 We do not use any of Your information for marketing or communication purposes but may pass Your details to the Instructor providing your Online Course.
5 Payment for Online Courses
5.1 The fees payable for Online Courses shall be advertised via Our Website.
5.2 Students may pay fees for Online Courses either directly to the Instructor or via the online portal on Our Website.
5.3 Where payment is made directly to the Instructor We will invoice the Instructor for Our fees as provided in our Terms of Agreement.
5.4 Where payment is made via the online portal on Our Website the Instructor shall invoice Us for the amounts due to the Instructor as provided in Our Terms of Agreement.
5.5 Where payment is made via the online portal on Our Website, Students waive any and all cancellation rights that may be available under any applicable laws including, but not limited to, the EU Consumer Rights Directive (2011/83/EU) as implemented into national law.
5.6 Once payment has been made Students will have access to the Online Courses they have paid for. This access will last for 12 months from the date of payment.
6.1 It is the Instructor’s obligation to account for and remit any value added tax or other taxes that may apply in respect of fees charged by the Instructor for an Online Course. For the avoidance of doubt We will pay over all sums received (less Our own fee) to the Instructor.
7 Intellectual Property
7.1 Any material or content on Our Website belongs to Us and may only be used by You with Our prior written consent
- Any material or content prepared and provided by an Instructor as part of an Online Course belongs to the Instructor and may only be used by others with the Instructor’s prior written consent
- Any material or content prepared and provided by a Student participating on an Online Course belongs to the Instructor
We are unable to issue refunds for Online Courses and Students should only sign up for an Online Course if they are able to complete the entire course. Where there are issues arising from the provision of the Online Course this is an issue between the Student and Instructor and any claims should be directed accordingly.
9.1 We reserve the right to amend these Terms from time to time and if We do so We shall notify You by email to the address provided by You on signing up for Our services.
9.2 You acknowledge and agree that We may stop (permanently or temporarily) providing the Website, Online Courses (or any part of the Online Courses) for whatever reason, at Our sole discretion, without prior notice to You and We shall not be liable for any losses arising therefrom.
- This agreement shall be governed by English Law and the Courts of England and Wales shall have exclusive jurisdiction in respect of any disputes arising.
